      Please use this guide to prepare for your Lectures and  SGT/Tutorials.

      Lectures are on Mondays 15.00-18.00 at LIF G.1 LT

      The SGT/Tutorials will take place on Tuesdays  from the week commencing ____February.  You will have a total of 4 SGT sessions each.  

      The tutorials take place 11am-12noon LIF Room 3.1 and 14.00-15.00 LIF Room 2.2.  Please check your individual calendars for your groups.

    • Module Description

      Brief description about this module:

      The module examines the principles of modern Company Law including corporate financing, management, the duties of directors, corporate governance, the protection of minority shareholders and insolvency.


      Learning Aims and Outcomes

      The primary learning outcome in this module is that you will think about learning as a mindset and a process - it has no end point.

      By the end of this module you will have:

      • Developed a knowledge base of the foundational principles and key domestic statutory materials and case law relating to companies in the UK.

        • Developed transferable skills, particularly critical analysis, logical argument, and communication skills relating to oral and written work.

        Upon completion of the module, a student should be able to: 

        1. Analyse the statutes and cases concerned with company law;

        2. Demonstrate understanding of the historical, social, economic or political factors influencing development of these cases and statutes;

        3. Demonstrate understanding of the principles of company law;

        4. Demonstrate understanding of the economic, social and political context in which company law is applied;

        5. Demonstrate understanding of the development and consider the future directions of company law

        Skills 

        • 6. Synthesise cases and statutes 

          7. Analyse a set of facts by identifying legal issues and applying rules and principles of company law and constructing arguments to suggest solutions to problems

          8. Communicate effectively, orally and in writing, in a clear and concise manner, using accurate legal terminology and referring to cases, statutory materials, academic commentary and giving practical examples

          9. With guidance, use legal databases and the internet to locate primary and secondary sources relevant to company law
