We live in a world where the company is the most important business vehicle and most economic activities take place through companies. This module aims to cover some of the main issues and fundamental principles which underlie corporate law and governance. The module examines the nature of the company and its legal personality; what goes on behind the corporate veil; the function of different company organs; constitutional matters; directors’ duties; shareholders remedies with particular emphasis on minority shareholders’ protection; and the main theories and principles of corporate governance. The focus is UK company law.
